Definitions:

  • “Agreement” refers to this Non-Disclosure of Confidential Information document between Prime Bookkeeping and the Client.
  • “Confidential Information” includes any non-public information related to the Client’s financial, business, or personal matters, including but not limited to business plans, contracts, client details, financial data, intellectual property, and any other information marked as confidential.
  • “Recipient” refers to the person or entity receiving the Confidential Information, i.e., Prime Bookkeeping.

Confidential Information:

Confidential Information includes all non-public financial and business data that the Client shares with Prime Bookkeeping. This may involve current and future business activities, customer information, contracts, intellectual property, and any other data labeled as confidential. Information that becomes publicly available, was already in Prime Bookkeeping’s possession, or is independently developed without access to the Client’s Confidential Information is not considered confidential.

Purpose:

The Confidential Information is shared for the sole purpose of fulfilling Prime Bookkeeping’s role in managing the Client’s bookkeeping and financial records.

Restrictions on Use:

Prime Bookkeeping agrees to:

  • Keep all Confidential Information private and secure for a period of three years from the date of the agreement.
  • Not disclose this information to third parties, except to employees or contractors who need it to fulfill their duties and are bound by similar confidentiality agreements.
  • Use the Confidential Information solely for bookkeeping purposes and refrain from reproducing, selling, or otherwise exploiting it.

Security Measures:

Prime Bookkeeping will take all necessary steps to protect the Confidential Information from unauthorized access and ensure that employees or contractors comply with these terms.

Return or Destruction of Information:

Upon request, Prime Bookkeeping will return or destroy all Confidential Information provided by the Client.

Exceptions:

Prime Bookkeeping may disclose Confidential Information if required by law, court order, or regulatory demand, with prior notice to the Client when possible.

Ownership:

All Confidential Information remains the property of the Client, and this Agreement does not transfer any rights or ownership of such information.
